How to Fill Out LLC Membership Certificates
ChannelThe Business GuyDescription from the creator
How to complete the LLC membership certificates if you own the LLC personally, if it is in a trust, a sub-trust, a self-directed IRA, a self-directed pension plan, etc. These are the LLC version of the stock certificate. How to write the number of units, the total units and an alternative by entering the percentage of units that the membership certificate represents.
People often ask, "How do I know the number of membership units that my company has?"
The answer is that many times, the articles of organization do not mention the number of possible units, as this can change over time. So, that is why, if someone owns 50% of the LLC, we might write "50 of 100" units of membership interest, rather than just "50" units. This indicates that out of the total possible 100 units, that this particular certificate represents 50 of the units. So, the membership certificate may be the only place that the total number of available units are written. In addition, the total number of possible units are often written in the LLC operating agreement.
