He explains that these terms outline the deal, price, and legally binding aspects of the agreement, such as confidentiality, exclusivity, and each side paying their own costs. If the seller signs the heads of terms, this gives the buyer an exclusivity period, which typically lasts two to four months and is designed to go up to the target date for completion.
